This document is officially referred to as 10X Recruiter Terms and Conditions. From this point on, 10X World, LLC will be known as 10X Recruiter. It includes 10X Recruiter Policies and Procedures and also includes or makes reference to other Policies enforced by 10X Recruiter.
Standards All Members Must Follow
A Member of 10X Recruiter agrees to always act honestly and fairly in a way that will enhance the reputation of the Member and 10X Recruiter when representing 10X Recruiter.
A Member must always offer full support as a sponsor of their personally referred Associates and future prospective Associates. This includes avoiding deceptive or illegal practices and making untrue claims regarding 10X Recruiter's services and administrative officers.
A Member agrees to not make public projections and claims regarding the income potential of any Member, including themselves and a Member understands that the success of other Member's may differ substantially and is determined by many variables uncontrollable by 10X Recruiter.
When promoting 10X Recruiter a member agrees to be respectful of all prospective Members. This includes respectful acceptance of all prospective Member comments and questions as well as their privacy needs.
A Member agrees to be and understands that they are solely responsible for any and all legal and financial obligations that could result from their 10X Recruiter Membership. This includes but is not limited to self-employment taxes, income taxes, sales/use taxes, etc.
A Member understands that the contents of this document may change occasionally at the discretion of 10X Recruiter, and therefore the Member agrees to review it often.
A member understands that if they have questions pertaining to any of the legal documents supporting 10X Recruiter they should contact the Support Team of 10X Recruiter for the most up to date answers to resolve those questions.
A Member of 10X Recruiter is required to understand and abide by the rules, terms, and policies outlined by 10X Recruiter.
10X Recruiter reserves the right to change their rules, terms, policies and web site content at any time as they deem appropriate.
10X Recruiter requires every Member to comply with all federal, state, provincial, and local laws, as well as all statutes and regulations governing Affiliate Marketing.
An individual may become a Member by agreeing to comply with all 10X Recruiter Policies and Terms and Conditions. An applicant wishing to become a Member must fill out the registration form online and pay the required fees.
10X Recruiter reserves the right to reject any person wanting to become a Member or withdraw the active status of a Member for any reason. Withdrawal of a Member's active status by 10X Recruiter after any fees have been collected may be refundable at 10X Recruiters discretion, and depending on the reason for termination of the Member's account.
Member Status Rules
All Members are independent contractors of 10X Recruiter. Membership accounts with 10X Recruiter are not franchises, joint ventures, or partnerships with 10X Recruiter, nor does any Member count as an employee, agent, or administrator for 10X Recruiter. Members are strictly prohibited from stating or implying that they hold or maintain any other type of relationship with 10X Recruiter.
Members, both active and inactive have no authority to bind 10X Recruiter to any obligation.
A Member enters the status of Declined if 10X Recruiter is unable to successfully bill the monthly fee(s) due on the first attempt. 10X Recruiter will attempt to bill fees due a total of 4 times during the course of approximately 14 days.
During the Declined period a Member will have access to the Members Only Site but will not have the ability to withdraw earned commissions.
If the fourth and final 10X Recruiter billing attempt fails a Member will not have access to the Members Only Site and their status will change to Canceled. An account remains Canceled permanently from 10X Recruiter and all information associated with the account is deleted.
A Member can update their billing information at any time before being Canceled by logging into the Members Only Site and visiting the Profile section. Alternatively the Member can contact Support for assistance. The next bill date following a successful billing will be 30 days from the first declined attempt.
A Member can become terminated at 10X Recruiter for violations to the Terms and Conditions or any other Policies. A Member whose status becomes Terminated immediately loses all access and rights to 10X Recruiter, their list of members and prospects in the system and any uncollected commissions.
Any prospects or members associated with a permanently closed account do not become the property of another member.
Member Fee Requirements
All persons over the age of 18, in countries approved to do business with according to the USA Government, can join with full access status by paying the current membership fee.
All active Members are authorized to promote and sell 10X Recruiter service to anyone that we are approved to do business with (see above).
All persons can cancel their account with 10X Recruiter at any time by contacting the Support Center or clicking on the "Cancel Subscription" link found beside your subscription under the "Account" menu tab and click on "Payment Details".
Members must be of legal age, or age of the majority (whichever maintains precedence) in the state, province, or country of their primary residence. 10X Recruiter maintains the right to ask any Member to provide proof of age for any reason.
Members may be required at any time to provide 10X Recruiter with a valid government-issued tax identification number (or other means of identification as mandated by the Members home domicile tax authority), as well as a current and valid billing and mailing address, phone number and e-mail address.
This personal information will be used for purposes pertaining to a Members 10X Recruiter account only and will be kept in a secure location by 10X Recruiter.
Failure to provide such requested information and proof that it is current may result in termination of the Members 10X Recruiter Membership.
Any penalties or fines that may result from issuing an incorrect tax identification number or other personal information to 10X Recruiter will be the sole responsibility of the Member.
Member Advertising and Account Rules
No Member has exclusive marketing and sponsorship rights over a specific territory. Members found to be implying such rights risk immediate termination from 10X Recruiter. No Member has been given the authority to supply other Members with exclusive marketing material, methods, leads, etc.
Members found to be implying such rights, either online or offline, risk immediate termination from 10X Recruiter.
No Member has the right to promote and collect funds from the sale of 10X Recruiter Products from any personal web site. The only web sites where the sale of 10X Recruiter can occur are on those provided by 10X Recruiter using 10X Recruiters merchant account to collect funds from the sale.
Members found collecting funds for the sale of 10X Recruiter products risk immediate termination.
Member Legal Compliance and Taxation
It is the Members responsibility to stay informed and comply with all international, federal, state and/or provincial statutes, laws and regulations, and all local ordinances and rules concerning all aspects of their 10X Recruiter membership. Members are responsible for their own managerial decisions and expenditures, including taxes. Since no Member is a 10X Recruiter employee, with respect to any law, statute or rule for federal or state tax purposes 10X Recruiter is not responsible for payment or co-payment of any employee benefits and/or taxes.
Members will not be treated as franchisees, joint venturers, partners, employees or agents with respect to the United States Internal Revenue Code, Social Security Act, any federal, state and/or provincial unemployment act(s), or any federal, state, provincial or local laws, statutes, ordinances, rules or regulations. All Associate Members are considered to be Independent Contractors, with status dictating a non-employee status in all foreign locations.
All information found in the Members Only Site is considered proprietary and confidential and for access by Members only. Information pertaining to other Members on the 10X Recruiter must not be shared with non 10X Recruiter Members or any third party.
Due to legal and tax considerations 10X Recruiter may be forced to exclude residents of certain countries from becoming an active Member of 10X Recruiter.
Any Member found to be recruiting, targeting advertisements to, training residents of, or doing any other activity related to promoting their 10X Recruiter web site in restricted countries risk immediate termination.
10X Recruiter Web Site Materials and Content
The name 10X Recruiter, all copyrighted material, Intellectual Property, 10X Recruiter logos, and the names of all Company Products and services are the intellectual property of and owned by 10X Recruiter. Only 10X Recruiter is authorized to produce and market Products, materials and literature under these intellectual property rights.
Use of 10X Recruiter name in any manner not approved or authorized by 10X Recruiter is prohibited.
Communications and Advertising
In all written promotional and information content both online and offline pertaining to 10X Recruiter, Members are permitted to use 10X Recruiter name as long as they have received company approval.
Any Member found to be transmitting, displaying, or sharing any form of self constructed marketing material pertaining to 10X Recruiter including online and offline written material, endorsements, conducting live interviews, giving speeches, trade shows, etc. without written consent from 10X Recruiter will risk immediate termination.
Members are prohibited from using 10X Recruiter name or copyrighted materials with automatic calling devices, call centers, and all other broadcast means to solicit new business.
10X Recruiter does not condone or tolerate the use of Unsolicited Commercial E-mail (UCE), Unsolicited Bulk E-mail (UBE) or Spam. All e-mails sent out by a Member to promote their 10X Recruiter business must fully comply with 10X Recruiter's strict Spam Policy.
Failure to comply will result in immediate termination of the guilty Member's 10X Recruiter account with all pending commissions forfeited and no further access to the Members Only Site.
From time to time you agree that 10X World, LLC may email your pre-enrollees tools or services that will help them promote their landing pages or get traffic. These would be limited to, at most, 2 times per month. There are no commissions paid to members for these sales. Any money made by 10X World, LLC is to help us off set our costs to keep your monthly members fees low.
Prospective Members of 10X Recruiter are required to purchase using only the options noted on the upgrade form.
All 10X Recruiter Fees are subject to change without prior notice. Current prices for all 10X Recruiter Fees can be found on 10X Recruiter Members Only Web Site.
All Members who want to maintain an Active status with the ability to use 10X Recruiter system, have their own 10X Recruiter sales web site and automated marketing system must be successfully billed the Product Fee by 10X Recruiter on the anniversary day they originally joined 10X Recruiter each month, or in accordance with the package the Member current has.
Amendments and Modifications
10X Recruiter reserves the right to amend any 10X Recruiter governing documents, Policies, Procedures, Terms and Conditions, 10X Recruiter affiliate commission program, company web sites, etc. at any time, as the Company in its sole discretion deems appropriate.
Changes are considered effective and binding on all Members as of the date of them being presented live on 10X Recruiter web site. Members who continue to participate in any 10X Recruiter program, after such amended policies have been published and/or after being notified by 10X Recruiter or otherwise becoming aware of such amendments, shall be deemed to have accepted and agreed to any such amended policies, terms and requirements.
No failure, delay or omission of 10X Recruiter to exercise any right, power or provision contained within 10X Recruiter Policies and Procedures shall constitute a waiver of 10X Recruiters right to demand exact compliance with all terms and provisions contained within 10X Recruiter Terms and Conditions on future defaults by any member.
In consideration for receiving 10X Recruiter Products and/or for participating in any 10X Recruiter programs, each Member agrees to indemnify and hold harmless 10X Recruiter, its shareholders, general/limited partners, successors, employees, agents, attorney's, officers and directors in any corporate or other business capacity from and against any and all demands, liabilities, losses, downtime, loss of data, costs, penalties, obligations, interest, damages and expenses of whatever nature or kind, including without limitation attorneys fees (including both outside and in-house counsel), and all other expenses, related to or arising from participation in any 10X Recruiter program.
This indemnity specifically extends to include without limitation any actions, results, causes of action or allegations in connection with (i) any Associate Member's business and its affiliates activities as a 10X Recruiter Associate Member; (ii) any breach of any terms, policies and conditions agreed to by the Associate Member and/or contained in any 10X Recruiter Policies and Procedures, or; (iii) violation of any federal, state, provincial and/or local law, statue, ordinance, rule or regulation.
All 10X Recruiter Terms and Conditions and Policies, as well as all other 10X Recruiter governing documents, are hereby incorporated into a Member's Membership with 10X Recruiter. These together constitute the entire agreement of 10X Recruiter and any Member regarding their business relationship, and supersedes and cancels all prior and contemporaneous agreements, claims, representations and understandings, oral and/or written, by or of the parties in connection with the subject matter hereof.
If, under any applicable and binding law or rule of any applicable jurisdiction, any provision of these Terms and Conditions and Policies, or any specific standard or operating procedure which 10X Recruiter has prescribed, is held to be invalid or unenforceable, 10X Recruiter shall have the right to modify the invalid or unenforceable provision, specification, standard or operating procedure or any portion thereof to the extent required to be valid and enforceable. The parties shall be bound by any such modification, and the modification will be effective only in the jurisdiction(s) in which it is required. Notwithstanding any such modification, if any provision of 10X Recruiter Terms and Conditions shall be deemed unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from the remainder of 10X Recruiter Terms and Conditions and Policies, and shall not affect the validity and enforceability of any remaining provisions, nor shall it affect any other standard and operating procedures which 10X Recruiter has prescribed.
10X Recruiter Liability
To the extent permitted by law, 10X Recruiter shall not be liable for, and all Members release 10X Recruiter from and waive all claims concerning, any loss of profits, any special or consequential damages, or any other losses incurred or suffered by any Associate Member and/or Subscriber as a result of: (a) the breach by the Associate Member and/or Subscriber of the terms and conditions specified in any 10X Recruiter Terms and Conditions or Policies and/or (b) the failure by an Associate Member to provide any information or data required by 10X Recruiter to operate its business and/or to conform to applicable laws; and/or (c) any incorrect or falsified information provided, intentionally or not, by any Associate Member, or by any agent or authorized representative of any such Member.
No Agency or Third-Party Beneficiary
10X Recruiter is not the agent, fiduciary, trustee or other such representative of any Member. Nothing expressed or mentioned in or implied from these Terms and Conditions is intended or shall be construed to give to any person other than the parties hereto any legal or equitable right, remedy or claim under or in respect to this Agreement. This Agreement and all of the representations, warranties, covenants, conditions and provisions of these 10X Recruiter Terms and Conditions are intended to be and are for the sole and exclusive benefit of 10X Recruiter and the agreeing Member.
Jurisdiction and Applicable Laws
The exclusive jurisdiction for any claim, controversy, lawsuit or resolution of any matter relating to or arising under any 10X Recruiter Terms and Conditions or Policies shall be North Carolina, USA. The laws of the United States govern this Agreement and all of its terms and conditions, without regard to any conflict of laws and principles.
Except as noted herein, any dispute, controversy and/or claim arising out of or relating to 10X Recruiter, 10X Recruiter Products and Services , and/or any rights and obligations of a Member, or any other claims or causes of action relating to the performance under these Agreements by either 10X Recruiter or any Member and/or a Member's purchase of 10X Recruiter Products shall be submitted exclusively before binding arbitration, with hearings to be held in North Carolina, USA, or such other location as 10X Recruiter may designate in its sole discretion.
Each party to the arbitration shall be responsible for its own costs and expenses of arbitration, including legal and filing fees. The decision of the arbitrator shall be final and binding on the parties and may be reduced to judgment in any court of competent jurisdiction. This agreement to arbitration shall survive any termination or expiration of the Member Agreement. Notwithstanding the foregoing, the arbitrator shall have no jurisdiction over disputes relating to the ownership, validity or registration or any mark or other intellectual property, or any confidential or proprietary information belonging to or held by 10X Recruiter, without 10X Recruiter's prior written consent.
10X Recruiter may seek any applicable remedy in any appropriate forum with respect to disputes and any money owed to 10X Recruiter. In addition to monetary damages, 10X Recruiter may obtain injunctive relief in any appropriate jurisdiction against any individual for any violation(s) of 10X Recruiter Terms and Conditions and violation or misuse of them and all governing documents of 10X Recruiter.
10X Recruiter, nor it's owners, partners, employees or board members make no claim that you will in fact make any money either from 10X Recruiter's Affiliate program or the use of 10X Recruiter to build any business.
Any claims made as to money made by other members or claims of building large teams or recruiting new members is just for demonstration purposes only and does not infer that any member has ever made money or recruited anyone.Lasted Updated 7/2/2016 10X Recruiter
